Terms of Service

1. Agreement

These Terms of Service (“Terms”) constitute a binding contract between you (the client or authorized business representative) and High Power Technical Solutions LLC (“High Power,” “we,” “us”). By visiting highpower.tech, engaging our studio for web services, or opting into our desk SMS communications, you agree to these Terms and our Privacy Policy.

If you have an executed written proposal, statement of work (SOW), or service agreement with High Power Technical Solutions LLC, the terms of that signed document govern and control with respect to any specific conflict with these general website terms.

2. Services

High Power Technical Solutions provides tailored digital engineering and maintenance services for businesses in Hampton Roads and beyond, including:

• Custom websites & software: Engineering, architecture, visual development, and deployment of client websites.
• Hosting & care: Secure edge hosting, DNS management, uptime monitoring, and proactive updates. Your website stays yours; High Power hosts and keeps it updated.
• Managed outreach desk: Dedicated operational support for communication workflows — delivering drafts for your review, managing status updates, and handling follow-up reminders under your business identity.

Human-operated support: We do not offer unmonitored automated software bots or speculative automated services under these Terms. Our desk services represent human-operated technical support designed to keep your business operating smoothly with your explicit review and approval.

3. Your content & ownership

You own 100% of your website content and client data.

You retain full ownership of all text, images, trademarks, logos, brand assets, and customer information provided to High Power or created specifically for your business under your proposal. You grant High Power a limited, non-exclusive license to host, display, back up, and adapt those assets solely as necessary to design, operate, and maintain your systems.

Underlying proprietary development tools, baseline configurations, open-source libraries, and reusable scripts developed by High Power remain our property or the property of their respective licensors, with all necessary production use licenses granted to you for the operation of your site.

4. Accounts & access

Where client portals or administrative consoles are provided, access is strictly limited to authorized client personnel. You are responsible for safeguarding your login credentials and for all activities that occur under your account.

No password harvesting: High Power will never ask for your email account passwords or administrative master keys via public web forms or unsecured text messages.

5. Acceptable use

You agree to use our systems and services strictly for lawful commercial purposes. You agree not to:

• Violate any federal, state, or municipal law, or infringe on third-party intellectual property or privacy rights.
• Distribute malicious software, spyware, spam, or unsolicited bulk messages.
• Publish fraudulent, deceptive, harassing, or defamatory materials.
• Attempt unauthorized access, penetration testing, or disruption of High Power edge servers or fellow client accounts.
• Misrepresent authorization or submit mobile phone numbers for SMS without the explicit consent of the subscriber.

We reserve the right to immediately suspend services if we detect activity that compromises system integrity or creates legal exposure.

6. SMS terms

SMS text messaging is completely optional and requires separate, affirmative web consent on our SMS consent page. By opting in with the consent checkbox selected, you agree to receive text messages from High Power Technical Solutions LLC at the mobile number provided.

Consent is recorded with a verified server-side timestamp upon form submission. Mobile consent is not transferable, will never be sold, and is not used for unrelated third-party advertising or marketing blast campaigns.

7. Fees & payment

Fees for builds, ongoing hosting care, and operational desk support are specified in your written proposal, invoice, or current price schedule. Payment terms (including required upfront deposits prior to commencement of work) are defined on each invoice.

These general website Terms do not invent or fix dollar amounts. If a specific proposal or signed agreement specifies terms that differ from published list prices, the signed agreement controls.

Invoices past due beyond specified grace periods may result in temporary suspension of active development or hosting services until brought current, following written notice.

8. Disclaimers

High Power Technical Solutions conducts all engineering and maintenance work in accordance with high commercial and industry standards. However, except as explicitly warranted in a signed agreement:

• All websites, tools, and services are provided on an “as is” and “as available” basis.
• We do not warrant uninterrupted 100% uptime, immediate carrier SMS delivery, or uncompromised third-party platforms (such as external cellular networks, DNS root servers, or browser vendors).
• You are responsible for reviewing and approving drafts, content accuracy, and business decisions executed through desk communications.

9. Limitation of liability

To the maximum extent permitted by applicable Virginia law, High Power Technical Solutions LLC, its officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, punitive, or lost-profit damages (including loss of business, data, or goodwill) arising out of or related to our services or these Terms.

High Power’s aggregate liability for any and all claims arising under or relating to a specific service shall not exceed the total fees actually paid by the client to High Power for that specific service during the twelve (12) months immediately preceding the event giving rise to liability.

10. Termination & data export

Either party may terminate month-to-month hosting or desk services in accordance with the notice provisions set forth in the governing proposal (typically 30 days’ written notice). You may terminate SMS communications immediately at any time by texting STOP.

Clean handoff: Upon termination of hosting services and settlement of all outstanding invoices, High Power will provide a clean, orderly export and handoff of your website code, assets, and database contents so you may transition to any hosting environment of your choice without lock-in.

11. Governing law & venue

These Terms, and all claims or controversies arising between the parties, shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any legal proceeding arising out of or related to these Terms shall be instituted exclusively in the state courts located in Newport News, Virginia or the United States District Court for the Eastern District of Virginia.
